Galderma has just announced an agreement to acquire 100% of ZO Skin Health for a $1.5 billion (€1.34 billion) enterprise value. With ZO Skin Health generating about $330 million in net sales through June 2026, the deal is valued at roughly 4.5 times annual sales.

Galderma’s acquisition of ZO Skin Health also marks a significant development in the professional skin care industry, underscoring the growing importance of physician-dispensed skin care within the broader dermatology and aesthetics ecosystem. Beyond adding another premium brand to its portfolio, the deal strengthens Galderma’s position in medical skin care and reflects a wider industry shift toward integrated, evidence-based solutions that connect in-office treatments with long-term at-home care.

As Kline + Company closely monitors the professional skin care market through its market research and M&A advisory activities, our analysts and industry experts have evaluated the implications of this transaction for the professional skin care sector and the strategic benefits it offers Galderma, including a broader and complementary portfolio with Alastin, a strengthened market position, a meaningful expansion of its share mainly among U.S. medical care providers, and a more robust platform for integrated dermatology.

A stronger market position and integrated dermatology platform

The acquisition strengthens Galderma’s competitive position in the U.S. professional skin care market while advancing its ambition to deliver integrated dermatological and aesthetic care. According to Kline + Company’s Professional Skin Care Global Series report, based on 2025 data, the transaction increases Galderma’s market share in the U.S. medical care provider channel by 12.7 percentage points, bringing its total to 19.0%, driven by ZO Skin Health’s strong number-two position in the channel.

Beyond this market share gain, the combined portfolio provides a broader platform for engaging medical care providers and connecting professional treatments with evidence-based homecare. This can deepen professional relationships, expand commercial reach and support more comprehensive treatment recommendations, while offering patients a more cohesive skin care journey spanning clinical interventions, daily routines and long-term skin health management.

A Broader Portfolio complementing Alastin

For Galderma, the acquisition of ZO Skin Health represents a strategic opportunity to strengthen its topical skin care portfolio, expand its reach in the professional channel and reinforce its position as a leading player in dermatology and aesthetics.

ZO Skin Health brings a broader range of targeted corrective actives and daily maintenance products, complementing ALASTIN’s focus on regenerative skin care and post-procedure care. Together, the brands offer Galderma a more comprehensive topical skin care portfolio, with solutions addressing different stages of the patient journey.

This complementarity allows Galderma to build a stronger offering for healthcare professionals, connecting pre- and post-procedure skin care with targeted correction and ongoing maintenance. It also creates opportunities to serve a wider range of patient needs while strengthening engagement with dermatology and aesthetic practices.

Accelerating Consolidation and Integrated Care

The acquisition highlights the evolution of physician-dispensed skin care from a side offering into a strategic pillar of dermatology. As in-office procedures and daily routines merge, patients increasingly seek comprehensive care that bridges treatment and long-term maintenance.

Galderma’s move signals that competitive advantage now depends on offering integrated portfolios—combining procedures, injectables, prescriptions, and homecare—to meet diverse patient needs. Furthermore, the deal is expected to accelerate consolidation across the market, making scale, clinical evidence, and professional partnerships critical differentiators as integrated care models shape the future of the industry.
